4.1. Real Time Bidding (RTB)
is Adform’s platform where Client purchases inventory for programmatic advertising using Real Time Bidding Technology.

4.2. Use of Adform’s RTB Platform.
In using Adform’s RTB platform, the Client agrees to additional terms and conditions as set out below. Failure to comply with any of these Terms is a breach of this Agreement, and may result in Adform, without prior notice, suspending or deleting Client’s access to the RTB platform or any other Services.

4.3. Inventory Purchases.
The Client may not be permitted to bid on and purchase any inventory in excess of Maximum Monthly Transaction Limit indicated in the Pricing section of the Insertion Order for Buyside Services, which represents the aggregated maximum financial value of inventory purchases on the RTB platform for a single transaction or series of transactions per month. For the avoidance of doubt, Client shall pay Adform all the fees and costs related with inventory purchases made on RTB platform even though exceeding the Maximum Monthly Transaction Limit.

4.4. Maximum Monthly Transaction Limit.
Adform may, at any time and in its sole discretion, change the Client’s Maximum Monthly Transaction Limit, or impose new restrictions on Client’s inventory purchases and/or Client’s obligations to pay Adform’s invoices in respect of the RTB services.

4.5. Purchases non-refundable.
Adform is under no responsibility to fulfil any of Client’s bids on its RTB platform and may in its sole discretion refuse any Client bid. Once a bid is placed on the RTB platform and it has been accepted, the purchase is non-refundable and Client must pay for the inventory in accordance with this Agreement.

4.6. Client Responsibilities.
Adform is entitled to act on instructions received from Client. Client is solely responsible for ensuring the accuracy of all information provided in accessing the RTB service (including the entering of bidding amounts and criteria, and settings). Client should regularly log into its account and review the details of its spending to ensure that there has not been an unauthorized transaction or other error.

4.7. Orders.
CLIENT AGREES THAT ITS PURCHASES THROUGH THE RTB PLATFORM CONSTITUTE A VALID ORDER AND THAT NO ADDITIONAL APPROVAL IS REQUIRED FROM CLIENT IN ORDER TO PAY ADFORM’S INVOICES.

4.8. RTB Service Fees.
The RTB Service Fees rate, base (Units) and calculation method is set out and described in the Pricing section of the Insertion Order for Buyside Services.

4.9. Media Costs.
The Media Costs amount to the total value of inventory purchased by Client through the RTB platform in a calendar month. They shall mean the price charged by Adform to cover the direct and indirect costs associated with buying from ad exchanges and other inventory sources and related services, including but not limited to cost of fluctuations in exchange rates, counting discrepancies and any other payment default risks.

4.10. Creative Approval Costs:
The Creative Approval Costs amount to the costs from the inventory partner for review and approval of the creatives. Note, that this only applies for certain inventory partners as indicated in the UI.

4.11. “DSP Audience Data Connector”
is a server2server batch file transfer or API integration in order to ingest/import audience data from another 1st party DMP to the Adform DSP with the goal and intention to activate these audiences within the Adform ecosystem (e.g. RTB). The DSP Audience Data Connector is limited to only making the (your) audiences accessible in the Adform ecosystem and does not allow the usage of the Adform DMP solution, nor its features and functions (e.g. cross device, lookalike modelling, overlay analysis, reporting, etc.). Audience usage reporting is available within the specific Adform product used for activation of the audiences, e.g. RTB performance reporting. The DSP Audience Data Connector is limited in the amount of ID’s/unique users/audiences that can be uploaded/processed every month. These monthly limits are 500.000.000 ID Update requests and/or 50.000.000 unique IDs stored and/or 1.000 unique audiences stored per month. Each unique ID may be connected to a maximum of 20 individual audiences at the same time. ID Update shall mean any (cookie, device or otherwise) ID (identifier) and associated property update requests (create, update, delete) to the platform from any and all 1st party audience sources. Should above provided limits be exceeded during the calendar month, Adform may on its sole discretion limit (not process additional update requests) or suspend the DSP Audience Data Connector service partially or in whole until the end of respective calendar month. Adform may also on its sole discretion choose to remove audiences from the platform which are not in active use, or have not been actively used in the past 90 days. If Data Management Platform Addendum to this Agreement is concluded by the parties, DSP Audience Data Connector’s DMP account will be governed by Data Management Platform Addendum.
